Terms of use

These terms govern your use of crowstudios.com and the tools on it. Use the site lawfully and keep your account secure. The site and its tools come as-is, our liability is limited, and any work we do for you is covered by a separate written agreement.

1Acceptance of these terms

These Terms of Use ("Terms") are an agreement between you and Crow Studios ("Crow Studios," "we," "us" or "our"). They govern your access to and use of crowstudios.com, its subdomains, and the tools, software, content, games, experiments and other features we make available through them (together, the "Site"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

If you use the Site on behalf of a company or other organization, you represent that you are authorized to accept these Terms for it, and "you" includes that organization. You must be at least 18 years old, or the age of majority where you live, to create an account or use signed-in features.

2Using the site

You may use the Site only for lawful purposes and in line with these Terms. You agree not to: (a) violate any law or the rights of others; (b) access or attempt to access accounts, systems or data you are not authorized to access, or probe, scan or test the vulnerability of the Site; (c) interfere with or disrupt the Site, including by introducing malware or placing an unreasonable load on it; (d) scrape, crawl or harvest the Site by automated means, except for search-engine indexing permitted by our robots.txt file; (e) copy, modify, reverse engineer, decompile or create derivative works of the Site or its software, except where the law allows this despite this restriction; (f) send spam or unsolicited messages, or submit false, misleading or malicious information through the contact form; (g) use the Site, its content or its output to develop a competing product or to train machine-learning models; or (h) misrepresent your identity or affiliation.

We may monitor use of the Site for security and operational purposes, investigate suspected violations of these Terms, and cooperate with law enforcement.

3Accounts and tools

Some features require an account. You agree to provide accurate information, keep your sign-in credentials confidential, and tell us promptly at hello@crowstudios.com about any unauthorized use. You are responsible for all activity under your account, and we are not liable for losses caused by unauthorized use of it.

Signed-in tools, games, experiments and product pages may be in development or offered as previews. We may add, change, limit, suspend or discontinue any feature, or set usage limits, at any time, with or without notice and without liability to you.

We may suspend or end your account or your access to the Site at any time, including if we believe you have violated these Terms. You may stop using the Site and ask us to close your account at any time. Provisions that by their nature should survive, including those on intellectual property, disclaimers, limitation of liability, indemnification and disputes, survive the end of your use of the Site.

4Our services

The Site describes the consulting, engineering, design and creative services we offer. Descriptions, prices, rates and timelines on the Site are general information and estimates, not offers, quotes or commitments, and may change without notice. Sending a message through the contact form or otherwise contacting us does not create a client relationship, a contract or any obligation on either side.

Any services we provide are governed exclusively by a separate written agreement signed by both parties, such as a master services agreement or statement of work. If that agreement conflicts with these Terms, the agreement controls for the services it covers.

Please do not send confidential or proprietary information through the contact form or by email until we have agreed in writing to keep it confidential. Information you send before then is not treated as confidential.

5Intellectual property

The Site and everything on it, including text, graphics, images, 3D models, animations, software, code, design and the selection and arrangement of content, are owned by Crow Studios or its licensors and are protected by copyright, trademark and other laws. "Crow Studios," our crow mark and logo, and related names and designs are our trademarks, and you may not use them without our prior written permission. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to view and use the Site for its intended purpose. We reserve all rights not expressly granted.

You keep ownership of the content you submit to the Site ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display Your Content as needed to operate, secure and provide the Site and to respond to you. You represent that you have all the rights needed to submit Your Content and that it does not infringe anyone's rights or violate any law.

If you send us ideas, suggestions or other feedback, we may use them for any purpose without obligation or payment to you.

6AI features

Some tools use artificial intelligence, including models provided by third parties, to generate text, images, code or other output ("Output"). Output is produced automatically. It may be inaccurate, incomplete or offensive, may resemble output generated for others, and does not represent our views. Output is not professional, legal, financial, medical, engineering or other expert advice. Review it carefully before you rely on or use it.

You are solely responsible for your prompts and other inputs, for how you use Output, and for making sure your use complies with the law and respects the rights of others. Do not submit confidential information, or personal information about other people, to AI features. To the extent we have rights in Output generated for you, you may use it subject to these Terms, but we make no representation that Output is protectable or free of third-party rights.

7Third-party links and services

The Site may link to or work with websites, services and content run by third parties, and it relies on outside providers for hosting, sign-in, email delivery and AI features. We do not control and are not responsible for third-party websites, services or content, their availability or their privacy practices, and a link does not mean we endorse them. Your use of third-party services is at your own risk and subject to their terms.

8Disclaimers

THE SITE, INCLUDING ALL CONTENT, TOOLS, SOFTWARE AND OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, CROW STUDIOS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT OR OUTPUT IS ACCURATE, COMPLETE OR RELIABLE. YOU USE THE SITE AT YOUR OWN RISK AND ARE RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICES OR LOSS OF DATA THAT RESULTS.

Some jurisdictions do not allow certain warranties to be excluded, so some of these exclusions may not apply to you.

9Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CROW STUDIOS OR ITS OWNERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS OR SERVICE PROVIDERS (THE "CROW STUDIOS PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR USE, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE CROW STUDIOS PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR ACCESS TO THE SITE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND THEY ARE AN ESSENTIAL PART OF THE BARGAIN BETWEEN YOU AND US.

Some jurisdictions do not allow certain damages to be excluded or limited, so some of these limitations may not apply to you. Liability for services we provide under a separate written agreement is governed by that agreement.

10Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless the Crow Studios Parties from and against all claims, demands, actions, losses, damages, liabilities, settlements, costs and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your access to or use of the Site; (b) Your Content, your inputs to AI features or your use of Output; (c) your violation of these Terms; or (d) your violation of any law or of the rights of any third party.

We may assume the exclusive defense and control of any matter for which you must indemnify us, at your expense, and you agree to cooperate with our defense. You may not settle any such matter without our prior written consent.

11Disputes and governing law

These Terms are governed by the laws of the Commonwealth of Massachusetts and applicable U.S. federal law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before starting a formal proceeding, you agree to contact us at hello@crowstudios.com and try in good faith to resolve the dispute informally for at least 30 days.

If we cannot resolve it, any dispute arising out of or relating to the Site or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association under its applicable rules, before a single arbitrator, in Middlesex County, Massachusetts, or remotely where the rules allow. Judgment on the award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information.

YOU AND CROW STUDIOS EACH AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING, AND EACH WAIVES ANY RIGHT TO A JURY TRIAL. You may opt out of this agreement to arbitrate by emailing hello@crowstudios.com within 30 days after you first accept these Terms, with your name and a clear statement that you are opting out.

Any claim that is not subject to arbitration must be brought exclusively in the state or federal courts located in Massachusetts, and you consent to their personal jurisdiction. To the extent permitted by law, any claim must be brought within one year after it arises, or it is permanently barred.

12Changes to these terms

We may revise these Terms at any time. When we do, we will update the "Last updated" date above, and for material changes we may give additional notice, for example on the Site or by email to account holders. Changes take effect when posted unless we say otherwise, and apply going forward; changes to the arbitration terms do not apply to disputes that arose before them. If you keep using the Site after changes take effect, you accept the revised Terms.

13General terms and contact

These Terms and our Privacy Policy are the entire agreement between you and us about the Site and replace any earlier understanding about it, but they do not replace any separate written agreement for services. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them, including in connection with a merger, acquisition or sale of assets. We are not liable for any delay or failure caused by events beyond our reasonable control. Headings are for convenience only, and "including" means "including without limitation."

Privacy policy

We collect only what we need to answer your messages, run your account and keep the site secure. We don't use advertising trackers or analytics, and we never sell your personal information.

1Information we collect

Information you give us. When you use the contact form, we collect your name and email address, and, if you provide them, your company, the kind of help you need, your budget range and your message. When you email us, we receive whatever you include. When you create an account or sign in, we collect your email address and any profile details you give our sign-in service.

Information collected automatically. Like most websites, our servers record technical information when you visit, such as your IP address, browser and device type, the pages you request, the referring page, and the date and time of each request. The contact form also notes how long the form was open before it was sent, which helps us filter out automated spam.

Content in tools. If you use signed-in tools, we collect the content you create or submit in them, such as prompts and the output generated for you.

2How we use it

We use personal information to: respond to your inquiries and discuss possible work together; provide, operate and maintain the Site, your account and its tools; keep the Site secure and prevent spam, fraud and abuse; enforce our Terms of Use; troubleshoot and improve the Site; communicate with you about your account or about our services when you have asked us to; and comply with the law and protect our rights.

Where the law requires a legal basis for processing, for example for visitors in the European Economic Area or the United Kingdom, we rely on: taking steps you request before entering into a contract; our legitimate interests in running and securing the Site and answering inquiries; your consent, where we ask for it; and compliance with our legal obligations.

3Cookies and analytics

We do not use advertising cookies, third-party analytics, tracking pixels or social media plug-ins, and the Site's pages, scripts and fonts are served from our own servers. We use only cookies that are strictly necessary to run the Site: our load balancer sets cookies (AWSALB and AWSALBCORS) that keep your requests on the same server, and a session cookie (JSESSIONID) keeps you signed in. Our sign-in service, Amazon Cognito, sets its own cookies on login.crowstudios.com while you sign in.

Because these cookies are needed for the Site to work, we do not ask for consent to them. You can block or delete cookies in your browser settings, but signed-in features may then stop working. The Site does not track you across other websites, so browser signals such as Do Not Track or Global Privacy Control do not change how we handle your information.

4Accounts and tool data

Accounts are managed through Amazon Cognito, which stores your email address, sign-in details and account status. Content you create or submit in signed-in tools is stored in our database, hosted by Amazon Web Services in the United States, together with the account it belongs to.

When you use an AI-powered feature, your inputs are sent to the third-party AI model provider that powers it, such as Anthropic, to generate Output, and are handled under that provider's terms for business customers. Please avoid including sensitive personal information in your inputs.

We keep account and tool data while your account is active. If you ask us to close your account, we delete it and its tool data within 30 days, unless the law requires us to keep it longer. Copies in our backups expire on their regular schedule, generally within 30 days after that.

5Sharing with others

We share personal information only with service providers that process it on our behalf and are obliged to protect it: Amazon Web Services, for hosting, databases, sign-in and email delivery; third-party AI model providers, for AI features you choose to use; and our email and productivity providers, for messages you send us. We may also share information with our professional advisers; when required by law or legal process; to protect the rights, property or safety of Crow Studios, our users or others; and in connection with a merger, acquisition, financing or sale of all or part of our business, in which case this policy continues to apply to it.

We do not sell your personal information, and we do not share it for cross-context behavioral advertising.

6Retention

We keep contact-form messages and emails as long as we need them to reply and, if we work together, for the length of that relationship and our record-keeping obligations, and then delete them. Server and security logs are kept for a short period, generally no more than 30 days. The record of how often an address has used the contact form is held in memory for about ten minutes. Account and tool data are kept as described in section 4. We may keep information longer where the law requires it, or to resolve disputes and enforce our agreements.

7Security and storage

We use reasonable administrative, technical and physical safeguards to protect personal information. Connections to the Site are encrypted, our credentials and secrets are stored encrypted, and access to personal information is limited to people who need it. No method of transmission or storage is completely secure, however, and we cannot guarantee the security of your information.

We are based in the United States, and our service providers process data in the United States. If you use the Site from outside the United States, your information will be transferred to, stored and processed in the United States, where data protection laws may differ from those where you live.

8Your rights and choices

You can ask us to give you access to, correct or delete the personal information we hold about you, or to stop contacting you, by writing to us at the address in section 11. We will verify your request and respond within the time the law requires.

Depending on where you live, you may have additional rights. Residents of California and other U.S. states with consumer privacy laws may have the right to know what personal information we collect and how we use it, to get a copy of it, to correct or delete it, and to opt out of its sale, sharing or use for targeted advertising (which we do not do). Visitors in the European Economic Area, the United Kingdom and Switzerland may also object to or restrict our processing, ask for their information in a portable format, withdraw consent at any time, and complain to their local data protection authority. You may use an authorized agent where the law allows, and we will not discriminate against you for exercising any of these rights.

9Children

The Site is not directed to children, and we do not knowingly collect personal information from children under 13, or under 16 where local law sets a higher age. If you believe a child has given us personal information, contact us and we will delete it.

10Changes to this policy

We may update this policy from time to time. When we do, we will update the "Last updated" date above, and for material changes we will give additional notice, for example on the Site or by email to account holders.
